Taliware Terms of Service

Please read these Terms of Service (“Terms”) carefully before using any Taliware product or service. These Terms govern your access to and use of Taliware websites, applications, APIs, and services.

1. Agreement; Scope

These Terms are a binding agreement between you (“you”, “your”, or “User”) and Taliware, Inc. (“Taliware”, “we”, “us”, or “our”). They apply to your access and use of Taliware websites, applications, software, SDKs, APIs, developer tools, and services (collectively, the “Services”), including but not limited to Cordoba Photo, Cordoba Layer-2, Confida, the Taliware Developer Platform, and any related offerings. By accessing or using the Services you accept and agree to be bound by these Terms.

2. Changes to the Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice (for example through the Services or via email) before the change becomes effective. Continued use of the Services after the effective date constitutes acceptance of the modified Terms.

3. Using the Services

You agree to use the Services only in compliance with these Terms, applicable law, and any additional product-specific terms, policies, or documentation we publish. You will not: (a) use or access the Services other than through the interfaces provided by Taliware; (b) interfere with or attempt to circumvent our security or usage limits; or (c) reproduce, duplicate, sell, trade, resell, or exploit the Services except as expressly allowed under a separate written agreement.

4. Accounts, Credentials & Responsibility

Some Services require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect unauthorized use of your account. We may suspend or terminate accounts that violate these Terms.

5. User Content; Feedback

“User Content” means any data, images, text, code, or other content you submit, upload, or post to the Services. You retain ownership of your User Content. By submitting User Content, you grant Taliware and its affiliates a non-exclusive, worldwide, royalty-free, sublicensable license to host, use, reproduce, modify, create derivative works from, publish, and display your User Content as needed to provide the Services (including for analytics, security, and product improvement). For clarity: this license enables Taliware to operate the Services, but does not transfer ownership.

You represent and warrant that you have all rights necessary to grant the above license and that your User Content does not violate any third-party rights. You will indemnify Taliware for claims arising from your User Content or your breach of these representations.

6. Product-Specific Notes

Cordoba Layer-2

The Cordoba Layer-2 blockchain, nodes, and related tooling are provided “as-is”. You are solely responsible for how you use on-chain data and the security of keys or wallets you control. We do not guarantee availability, immutability, or fitness for any particular purpose for on-chain transactions.

Cordoba Photo

Cordoba Photo provides tools for registering images, biometric provenance features, and optional metadata processing. You are responsible for obtaining any required rights (including model releases, consents, and licenses) before registering or publishing images. You must comply with applicable law and third-party rights when using biometric or personal data features.

Confida

Confida services (identity, verification, or biometric workflows) must be used in a lawful and ethical manner. You agree not to use Confida for surveillance, unlawful discrimination, or other activities that violate privacy laws or human rights. If you process personal data using Confida, you remain the data controller and must comply with applicable data protection regulations.

Developer Platform & APIs

Use of the Developer Platform and APIs is subject to any usage limits, rate limits, quotas, and developer documentation. You may be required to accept additional terms, SLAs, or a paid plan for higher tiers. You are responsible for your API keys and for securing credentials issued to you.

7. Intellectual Property

Taliware and its licensors retain all rights, title, and interest in and to the Services, Content, trademarks, and software (excluding your User Content). You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You must not remove copyright, trademark, or other proprietary notices from materials obtained through the Services.

8. Prohibited Conduct

  • Illegal activity or anything that violates third-party rights (privacy, IP, etc.).
  • Attempting to access or interfere with the Services, systems, or other users’ accounts.
  • Deploying malware, brute-force attacks, scraping that exceeds API terms, or other abusive behavior.
  • Using biometric or identity features in ways that violate law or fundamental rights.

9. Termination

We may suspend or terminate your access to the Services at our discretion for violations or legal reasons. Termination does not relieve you of obligations that accrued before termination, including payment, indemnity, and surviving provisions (see “Survival” below).

10. Privacy & Data

Our collection and processing of personal data is described in our Privacy Policy. If you use features that process biometric or sensitive data (for example, biometric provenance in Cordoba Photo or identity verification in Confida), you must ensure you have lawful grounds and any required notices or consents. 11. Disclaimers

THE SERVICES ARE PROVIDED “AS-IS” AND “AS-AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TALIWARE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TALIWARE OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES. TALIWARE’S AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED ONE HUNDRED DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Taliware and its affiliates from any claims, liabilities, losses, damages, and expenses arising from (a) your violation of these Terms, (b) your User Content, or (c) your use of the Services in violation of applicable law.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Except as otherwise provided, disputes will be resolved in the courts located in California, or by arbitration if a binding arbitration agreement applies. If you are a consumer, local mandatory consumer protection laws may apply.

15. Export Controls; Compliance

You will comply with applicable export and re-export control laws. You will not use the Services in ways that would require Taliware to obtain an export license without first obtaining the necessary permissions.

16. Changes to Services

We may modify, suspend, or discontinue the Services (or any features) at any time. We have no obligation to provide or support deprecated features.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms (together with any additional product-specific terms and our Privacy Policy) constitute the entire agreement between you and Taliware regarding the Services.
